BioPharmX Corporation, a specialty pharmaceutical company focusing on dermatology and women's health, today announced the pricing of an underwritten public offering of 3,600,000 shares of common stock and warrants to purchase 1,800,000 shares of common stock with a public offering price of $1.20 for one share of common stock and a warrant to purchase 0.5 of a share of common stock. The company expects to receive gross proceeds of approximately $4.3 million, before deducting underwriting discounts and commissions and other estimated offering expenses. The company has also granted the underwriters a 45 day option to purchase up to an additional 324,000 shares of common stock and/or warrants to purchase up to an additional 162,000 shares of common stock to cover over-allotments, if any.
The warrants have an exercise price of $1.20 per share, are exercisable immediately and will expire five years from the date of issuance.
The offering is expected to close on or about April 1, 2016, subject to customary closing conditions.
Maxim Group LLC is acting as lead book-running manager and CRT Capital Group LLC is acting as co-book-running manager for the offering. Rodman & Renshaw, a unit of H.C. Wainwright & Co., LLC, is acting as co-manager for the offering.
