Samsung Biologics Launches All-Cash Offer to Acquire PolyPeptide

Samsung Biologics has announced an all-cash public tender offer to acquire 100% of the share capital of PolyPeptide Group AG, a global contract development and manufacturing organisation (CDMO) specialising in peptide-based active pharmaceutical ingredients (APIs). The proposed acquisition supports Samsung Biologics' strategy to expand its multi-modality CDMO business and strengthen its global presence across the United States, Europe and India.
Under the proposed transaction, PolyPeptide shareholders will receive CHF 44.31 in cash for each share, valuing the company at approximately CHF 1.46 billion. The acquisition is expected to close by the end of 2026, subject to shareholder acceptance, regulatory approvals and other customary conditions.
PolyPeptide's Board of Directors has unanimously recommended that shareholders accept the offer. The transaction is also supported by the company's largest shareholder, which has agreed to tender its majority shareholding.
The acquisition will expand Samsung Biologics' capabilities beyond antibodies and antibody-drug conjugates (ADCs) into peptide therapeutics, a rapidly growing segment driven by increasing demand for obesity, diabetes and other peptide-based treatments. By combining Samsung Biologics' manufacturing scale with PolyPeptide's expertise in peptide development and production, the companies aim to establish an end-to-end multi-modality CDMO platform.
PolyPeptide has more than 70 years of experience in peptide API manufacturing and has produced over 1,000 therapeutic peptides. The company operates research, development and commercial manufacturing facilities in Sweden, Belgium, France, the United States and India, with its corporate headquarters in Switzerland and an innovation centre in Strasbourg, France.
Following completion of the transaction, Samsung Biologics plans to integrate PolyPeptide's scientific expertise, manufacturing capabilities and global operations to strengthen its service offering and support future growth. The company also intends to acquire any remaining minority shares and delist PolyPeptide from the SIX Swiss Exchange, making it a wholly owned subsidiary.
The formal tender offer is expected to be launched by the end of August 2026, with completion subject to at least two-thirds of PolyPeptide's fully diluted shares being tendered and the fulfilment of regulatory and customary closing conditions.
