Sun Pharma intends to acquire Concert Pharmaceuticals to advance potential treatment for alopecia areata

Sun Pharmaceutical Industries Limited and Concert Pharmaceuticals, Inc. today announced that they have entered into a definitive agreement pursuant to which Sun Pharma will acquire all of the outstanding shares of Concert by way of a tender offer for an initial cash payment of 8.00 dollars per common share, or $576 million in net worth. Concert shareholders will also receive a non-negotiable contingent value right (CVR) entitling them to receive cash up to an additional $3.50 per common share, payable if deuruxolitinib achieves certain net sales milestones during specified periods. , subject to the terms contained in a contingent value rights agreement specifying the terms of those rights. The transaction has been approved by the boards of directors of both companies.
The initial cash payment of $8.00 per common share represents a premium of approximately 33% to the 30-day volume-weighted average trading price as of January 18, 2023, the last trading day before the announcement of today.
Concert is a late-stage biotechnology company pioneering the use of deuterium in medicinal chemistry. Concert has an extensive patent portfolio, including its lead product candidate, deuruxolitinib – an oral inhibitor of Janus kinases JAK1 and JAK2 for the treatment of alopecia areata, an autoimmune dermatological disease – in late-stage development. Concert has completed evaluation of the efficacy and safety of deuruxolitinib in adult patients with moderate to severe alopecia areata in its Phase 3 clinical program, THRIVE-AA, and two long-term, open-label extension studies. term are underway in North America and Europe. Sun Pharma's immediate priority would be to follow Concert's plan to file a New Drug Application (NDA) with the United States Food and Drug Administration (FDA) in the first half of 2023.
Alopecia areata is an autoimmune disease where the immune system attacks the hair follicles, resulting in partial or complete loss of hair and hair on the scalp and body. Alopecia areata can affect up to 2.5% of the US and global population during their lifetime [1],[2],[3] . The scalp is the most commonly affected area, but any site with hair can be affected, alone or with the scalp. The disease can manifest throughout life and affects both women and men. Alopecia areata can be associated with serious psychological consequences, including anxiety and depression. The treatment options available for alopecia areata are currently limited.

Terms of the transaction and closing schedule
Under the terms of the merger agreement, Sun Pharma will promptly launch a tender offer to acquire all of Concert's outstanding common stock. Concert shareholders will be offered an initial cash payment of $8.00 per common share. Concert's board of directors unanimously recommends that Concert shareholders sell their shares under the tender offer.
Concert shareholders will also receive a non-negotiable contingent value right (CVR), which will entitle them to receive cash up to an additional $3.50 per common share, payable if deuruxolitinib achieves certain net sales milestones during specified periods, subject to the terms contained in a contingent value rights agreement specifying the terms of those rights. These milestones, subject to the terms specified in the Contingent Value Rights Agreement, include: (i) $1.00 per common share, payable the first time net sales of deuruxolitinib equal or exceed to 100 million dollars during$2.50 per common share, payable the first time net sales of deuruxolitinib equal or exceed $500 million in any four consecutive quarters from the time of first commercial sale of deuruxolitinib in the United States United States and December 31, 2029. There can be no assurance that any payment will be made under the CVRs.
The transaction is expected to close in the first quarter of 2023. The transaction is subject to the offer for sale of the majority of the outstanding common shares of Concert, as well as the receipt of applicable regulatory approvals and the satisfaction of other customary closing conditions. Following the successful closing of the tender offer, Sun Pharma will acquire all remaining shares of Concert not tendered into the tender offer and all preferred shares of such company through a second-stage merger at the same price of $8.00 per common share, plus a non-tradable CVR. The merger will be completed as soon as practicable after the closing of the tender offer.
For the nine-month period ended September 20, 2022, Concert reported revenue of $29,000 and a net loss of $90.6 million. R&D expenditures for this nine-month period amounted to $75.7 million. As of September 30, 2022, Concert had approximately $148.9 million in cash, cash equivalents and investments.
Sun Pharma had net liquidity of $1.6 billion as of September 30, 2022.
